Terms of Service.

1. Acceptance of Terms

By creating an account on or using the XcroPay platform (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms apply to all users of the platform, including buyers, sellers, and any other visitors. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Account Registration

To use XcroPay, you must create an account and complete the KYC (Know Your Customer) verification process. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Be at least 18 years of age to create an account

We reserve the right to suspend or terminate accounts that provide false information, engage in fraudulent activity, or violate these Terms.

3. Escrow Services

XcroPay provides escrow services to facilitate secure transactions between buyers and sellers. By using our escrow services, you understand and agree that:

• XcroPay acts as a neutral third party holding funds on behalf of the transaction parties
• Funds deposited into escrow are held in a secure holding account separate from XcroPay's operational funds
• Funds are released to the seller only when the buyer confirms receipt of goods or services, or when the agreed inspection period expires without a dispute being filed
• Both parties must agree to the transaction terms before the escrow is initiated
• XcroPay does not guarantee the quality, safety, or legality of items or services transacted through the platform
• Users are solely responsible for fulfilling their obligations in each transaction

4. Fees

XcroPay charges a transaction fee for each escrow transaction processed through the platform. The applicable fee is clearly displayed before you confirm a transaction. By proceeding with a transaction, you agree to pay the stated fees.

Fees are non-refundable unless otherwise stated. XcroPay reserves the right to modify its fee structure at any time, with notice to users. Updated fees will apply to transactions initiated after the change takes effect.

5. Disputes

If a dispute arises between a buyer and seller, either party may initiate a dispute through the XcroPay platform before the inspection period expires. By using our dispute resolution service, you agree that:

• Both parties must submit relevant evidence to support their claims within the specified timeframe
• XcroPay's dispute resolution team will review the evidence and make a determination
• Decisions made by the XcroPay dispute resolution team are final and binding
• XcroPay reserves the right to request additional information from either party during the dispute resolution process
• Funds in dispute will remain in escrow until a resolution is reached

6. Limitation of Liability

To the maximum extent permitted by applicable law, XcroPay and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or similar harmful code that may be transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content
• The conduct of any third party on the Service, including other users

7. Prohibited Activities

You may not use XcroPay for any illegal or unauthorized purpose. Prohibited activities include, but are not limited to:

• Transactions involving illegal goods or services
• Money laundering or terrorist financing
• Fraud, deception, or misrepresentation
• Creating multiple accounts to circumvent platform rules
• Attempting to manipulate the ratings or review system
• Interfering with or disrupting the platform or its infrastructure

8. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, failure to complete KYC verification, or extended account inactivity.

Upon termination, your right to use the Service will immediately cease. Any funds held in escrow at the time of termination will be handled in accordance with the applicable transaction terms and our dispute resolution procedures. You may request deletion of your account data subject to our data retention obligations.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Lagos, Nigeria.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
